The following By-Laws were proposed and agreed-upon unanimously
High Point Democrats in Action
ARTICLE I: NAME AND AFFILIATIONS
Section 1. NAME. The name of this organization shall
be the “High Point Democrats In Action,” and
hereafter may be known as High Points DEMs in Action or HPDiA
as a short form of the name.
Section 2. AFFILIATIONS. This organization shall
be affiliated with the Guilford County Democrats and shall be congruent
with the platforms and policies of the Democratic Party on the local,
state, and national levels.
ARTICLE II: OBJECT AND POLICY
Section 1. OBJECT. The object of the High Point DEMs
in Action shall be to stimulate people in High Point with an active
interest in governmental affairs, to serve as a mechanism for satisfying
political expression, and to make members of the Democratic Party
aware that High Point Democrats intend to take an active role in Party
affairs.
Section 2. POLICY. This organization and its members
shall take an active interest in local, state, and national affairs.
Section 3. ENDORSEMENTS. This organization shall
support actively and by appropriate means the nominees of the Democratic
Party in national, state, and local elections. This organization shall
not endorse or support the candidacy of any persons for public office
prior to nomination by the Democratic Party; however, individual members
may support candidates prior to nomination.
ARTICLE III: MEMBERSHIP
Section 1. ELIGIBILITY. The membership of the High
Point Dems in Action shall be open to all registered Democrats in
the greater High Point region.
Section 2. CLASSIFICATIONS. There shall be three
(3) classifications of membership: Active, Associate, and Honorary.
Any Democrat registered to vote in the greater High Point region shall
be eligible for Active Membership. Associate Members shall be those
members who reside outside of the greater High Point region. Any Associate
or Honorary member shall carry all of the rights and privileges of
Active membership except that no Associate or Honorary member shall
be eligible to vote or hold office in the High Point DEMs in Action.
Section 3. DUES. Annual Dues shall be required of
each Active and Associate member in the amount of ten dollars ($10.00)
for Active members, and five dollars ($5.00) for Associate members.
ARTICLE IV: OFFICERS
Section 1. DEFINITION. The elected officers of this
organization shall consist
of a Chair, a Vice-Chair, a Recording Secretary, a Corresponding Secretary,
and a Treasurer.
Section 2. CHAIR. The duties of the President shall
be to uphold and enforce
the provision of these Bylaws; to organize and administer the organization;
to preside over all meetings; to call special meetings when necessary;
to appoint chairperson or standing committees; to appoint select committees
to serve at his/her discretion; to represent the organization at conventions
and official functions; and to chair the Executive Board. All appointments
by the Chair shall be subject to majority approval at an official
general membership meeting.
Section 3. VICE-CHAIR. The duties of the Vice-Chair shall
be to advise and assist the Chair in the administration of the organization
and to assume the duties of the executive office in the temporary
absence of the Chair.
Section 4. RECORDING SECRETARY. The duties of the
Recording Secretary shall be to maintain the files of the organization
and to record the minutes of all meetings and make them available
for publication.
Section 5. CORRESPONDING SECRETARY. The duties of
the Corresponding Secretary shall be to conduct the official correspondence
of the organization; and to take necessary steps to maintain affiliations
and contact with the Democrats of North Carolina and the National
Democratic Party, and any and all other like-minded organizations,
etc.
Section 5. TREASURER. The duties of the Treasurer
shall be to keep an accurate account of all financial transactions;
to compile periodic financial status reports; to collect the annual
membership dues; and to conduct all other financial affairs of the
organization.
Section 6. QUALIFICATIONS. Any Active member in good
standing shall be eligible to hold elected office in this organization.
Section 7. ELECTIONS. Elections of officers shall
be held at one (1) regularly schedule general membership meeting per
year. Officers shall begin their terms immediately upon being sworn
in and shall hold office until their successors are chosen and installed.
ARTICLE V: MEETINGS
Section 1. MEETINGS. The regular meetings of the
organization shall be held a minimum of once per month. Dates and
times shall be determined at prior membership meetings, and members
shall be given two weeks notice of meeting. The President has the
option to call special meetings if needed.
Section 2. QUORUM. The Active members present at
any meeting shall be required for binding action on the business of
the organization.
ARTICLE VI: COMMITTEES
Section 1. DEFINITION. The standing committees of
this organization shall consist of the following: By Laws; Candidates;
Community; Events / Actions; Fundraising; Membership, and Voter Registration
/ Outreach / Education
Section 2. COMMUNITY. The Community Committee shall
be responsible for organizing Community Outreach efforts with other
community service organizations and the general populace of the greater
High Point region.
Section 3. BY-LAWS. The By-Laws Committee shall be
responsible for updating and making suggested changes in the By-Laws
of the organization.
Section 4. EVENTS / ACTIONS. The Events and Action
Committee shall be responsible for organizing, coordinating and advertising
to the community and members the specific upcoming events planned
by the HPDiA.
Section 5. VOTER REGISTRATION COMMITTEE. The Voter
Registration Committee shall conduct voter registration and education
for new voters
in the greater High Point area.
Section 6. SATLELLITE DEMS. The Satellite DEMs Committee
shall act as an outreach to form alliances with and support other
Democratic groups and their actions.
Section 7. FUNDRAISING. The Fundraising Committee
shall be responsible for suggesting and undertaking projects to raise
funds for the organization.
Section 8. MEMBERSHIP. The Membership Committee shall
be responsible for undertaking strategies to get more members for
the organization.
Section 9. EXECUTIVE BOARD. The Executive Board shall
serve as an advisory and planning committee for the organization.
Voting members shall be elected by the four elected officers, the
immediate past Chair, and the chairperson of the standing committees.
ARTICLE VII: GOVERNMENT
Section 1. AMENDMENTS. These By-Laws may be amended
by a two-thirds vote of a general membership meeting when notice of
the amendment is given at the previous general membership meeting.
When no previous notice is given, any amendment may be affected by
a three-quarters vote of a general membership meeting.
Section 2. PARLIAMENTARY AUTHORITY. The proceedings
of this organization shall be governed by the following authorities
in the following order of precedence. The By-Laws of the High Point
Democrats in Action; the current edition of Robert’s Rules of
Order Newly Revised; and executive discretion.
